1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "Customer," "you," or "your") and Florida Build Group ("Company," "we," "us," or "our") regarding your use of our website at floridabuildgroup.com (the "Site") and our painting and related services (collectively, the "Services").

By accessing or using our Site or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree with these Terms, you must not access or use our Site or Services.

IMPORTANT: These Terms contain provisions that limit our liability and require arbitration of disputes. Please read these Terms carefully.

2. Services Description

Florida Build Group provides professional painting and related services for residential and commercial properties in Miami and surrounding areas of Florida, including but not limited to:

  • Interior and exterior painting
  • Surface preparation and repair
  • Color consultation
  • Wall finishing and treatments
  • Property inspections and estimates
  • Maintenance and touch-up services

All Services are provided in accordance with our proprietary M-SEQUA™ painting protocol, which is specifically designed for Miami's climate conditions.

3. Florida Contractor License

Florida Build Group operates in compliance with Florida Statutes Chapter 489 (Contracting) and maintains all required licenses and insurance as mandated by Florida law for painting contractors operating in the State of Florida.

In accordance with Florida law, we provide:

  • Written contracts for all projects exceeding $2,500
  • Proof of workers' compensation and liability insurance
  • Proper licensing information upon request
  • Lien law notices as required by Florida Statutes § 713

4. Service Agreement and Quotes

4.1 Free Inspections and Estimates

We offer free property inspections and written estimates at no obligation. Estimates are valid for 30 days from the date of issue unless otherwise specified.

4.2 Written Contracts

All Services require a written contract signed by both parties. The contract will include:

  • Detailed scope of work and specifications
  • Total project cost and payment terms
  • Project timeline and completion date
  • Materials and paint brands to be used
  • Warranty terms and conditions
  • Change order procedures
  • Cancellation and refund policy

4.3 Changes to Scope of Work

Any changes to the agreed scope of work must be documented in writing through a change order, which may affect the total cost and timeline. We reserve the right to adjust pricing for additional work discovered during the project that was not included in the original scope.

5. Pricing and Payment Terms

5.1 Fixed Price Contracts

Unless otherwise specified, all quotes are fixed-price contracts. The total price includes labor, materials, equipment, and applicable taxes unless itemized separately.

5.2 Payment Schedule

Our standard payment structure is as follows:

  • 50% Deposit: Due upon contract signing to secure scheduling and materials
  • 40% Progress Payment: Due at substantial completion of work
  • 10% Final Payment: Due upon final inspection and customer approval

Payment is only required after you approve the completed work. We accept cash, check, credit cards, and electronic transfers.

5.3 Late Payments

Payments not received within 15 days of the due date may be subject to a late fee of 1.5% per month (18% annually) or the maximum rate permitted under Florida law, whichever is less. We reserve the right to suspend work if payments are not received as scheduled.

5.4 Florida Lien Laws

In accordance with Florida Statutes Chapter 713, failure to make payment may result in the filing of a construction lien against your property. You will receive all required lien law notices as mandated by Florida law.

6. Customer Responsibilities

As a Customer, you agree to:

  • Provide accurate property information and access to the work area
  • Remove or protect valuable items from the work area
  • Ensure pets are secured during work hours
  • Provide access to water and electricity if needed
  • Notify us of any hazardous materials (lead paint, asbestos, etc.)
  • Obtain necessary HOA or condo association approvals
  • Make timely payments according to the payment schedule
  • Inspect and approve work within the specified timeframe

7. Warranties and Guarantees

7.1 Workmanship Warranty

We warrant that all work will be performed in a professional manner in accordance with industry standards. We provide a one-year warranty on workmanship for defects in application or materials, subject to the following conditions:

  • Normal wear and tear is not covered
  • Warranty is void if paint is damaged by Client or third parties
  • Proper maintenance by Client is required
  • Warranty does not cover damage from natural disasters, accidents, or negligence

7.2 Materials Warranty

Paint and materials are covered by the manufacturer's warranty. We use premium brands (Sherwin-Williams, Benjamin Moore) that typically provide multi-year product warranties. Manufacturer warranty claims must be processed directly with the manufacturer.

7.3 Free One-Year Inspection

As a bonus, we provide one free inspection and service visit within the first year after project completion to ensure your satisfaction and address any concerns.

7.4 Warranty Claims

To make a warranty claim, contact us in writing within the warranty period. We will inspect the issue and, if covered under warranty, repair or repaint the affected area at no charge.

8. Project Timeline and Delays

8.1 Estimated Completion

Project timelines are estimates based on normal working conditions. We strive to complete all projects on schedule but cannot guarantee exact completion dates.

8.2 Delays Beyond Our Control

We are not liable for delays caused by:

  • Severe weather conditions (hurricanes, tropical storms, excessive rain)
  • Acts of God or natural disasters
  • Material or equipment shortages
  • Changes requested by Customer
  • Unforeseen conditions discovered during work
  • Failure of Customer to provide necessary access or approvals
  • Government restrictions or permit delays

8.3 Weather-Related Delays

Given Miami's climate, painting work may be delayed due to rain, high humidity, or extreme heat that affects paint application and curing. Such delays do not constitute breach of contract.

9. Cancellation and Refund Policy

9.1 Customer Cancellation

You may cancel the contract under the following conditions:

  • Before Work Begins: Full refund minus 10% administrative fee
  • After Work Begins: Refund of unused portion minus costs incurred (materials purchased, labor completed, equipment rental)
  • After 50% Completion: No refund available; remaining balance due

Florida's Three-Day Cancellation Rule (Florida Statutes § 501.021) applies to contracts signed at a location other than our permanent business location. You have three business days to cancel such contracts without penalty.

9.2 Company Cancellation

We reserve the right to cancel or suspend Services if:

  • Customer fails to make payments as scheduled
  • Property access is not provided
  • Unsafe or hazardous conditions exist
  • Customer engages in abusive or threatening behavior
  • Material misrepresentation by Customer

In the event of Company cancellation due to Customer breach, deposit and payments are non-refundable.

10. Limitation of Liability

10.1 Maximum Liability

To the fullest extent permitted by Florida law, our total liability for any claim arising from or related to these Terms or the Services shall not exceed the total amount paid by Customer for the specific Services giving rise to the claim.

10.2 Excluded Damages

We shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, or business opportunities
  • Personal injury or property damage not caused by our negligence
  • Pre-existing damage or defects not identified during inspection
  • Damage to items not properly protected or removed by Customer
  • Color variations due to lighting, age, or digital display differences

10.3 Insurance

We maintain general liability insurance and workers' compensation insurance as required by Florida law. Proof of insurance is available upon request.

11. Indemnification

You agree to indemnify, defend, and hold harmless Florida Build Group, its owners, employees, and agents from any claims, damages, losses, liabilities, or expenses (including attorney fees) arising from:

  • Your breach of these Terms
  • Your violation of any law or regulation
  • Your negligence or willful misconduct
  • Third-party claims related to your property
  • Undisclosed hazardous conditions on your property

12. Dispute Resolution

12.1 Informal Resolution

In the event of any dispute, both parties agree to first attempt to resolve the matter through good-faith negotiation. Contact us at floridabuildgroup@gmail.com or +1 (786) 901-1923 to discuss any concerns.

12.2 Mediation

If informal resolution fails, the parties agree to submit the dispute to mediation in Miami-Dade County, Florida, before pursuing arbitration or litigation. Each party shall bear its own mediation costs.

12.3 Arbitration

If mediation is unsuccessful, any dispute shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association. Arbitration shall take place in Miami-Dade County, Florida.

CLASS ACTION WAIVER: You agree that any arbitration or litigation shall be conducted on an individual basis and not as a class action, consolidated action, or representative action.

12.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any litigation shall be brought in the state or federal courts located in Miami-Dade County, Florida.

13. Intellectual Property

All content on our Site, including text, graphics, logos, images, and software, is the property of Florida Build Group and is protected by United States and international copyright, trademark, and other intellectual property laws.

The M-SEQUA™ protocol and related materials are proprietary to Florida Build Group. You may not use, reproduce, or distribute any content without our express written permission.

14. Photography and Marketing

We may photograph completed projects for marketing, advertising, and portfolio purposes. By engaging our Services, you grant us permission to use such photographs on our website, social media, and promotional materials unless you explicitly opt out in writing.

We will not disclose your personal information or specific address in connection with such photographs without your consent.

15. Environmental and Safety Compliance

We comply with all applicable environmental regulations, including:

  • EPA Lead-Safe Certification Program (for pre-1978 properties)
  • Proper disposal of paint and materials
  • Use of low-VOC and safe paint formulas
  • OSHA safety standards

If your property was built before 1978, we are required by federal law to provide lead paint disclosure information and follow lead-safe work practices.

16. Force Majeure

Neither party shall be liable for any failure or delay in performance due to events beyond their reasonable control, including but not limited to:

  • Acts of God (hurricanes, floods, earthquakes)
  • War, terrorism, or civil unrest
  • Government actions or restrictions
  • Pandemics or public health emergencies
  • Strikes or labor disputes
  • Material shortages or supply chain disruptions

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

18. Entire Agreement

These Terms, together with any written contract for Services and our Privacy Policy, constitute the entire agreement between you and Florida Build Group regarding the subject matter hereof and supersede all prior or contemporaneous communications, agreements, or understandings, whether written or oral.

19. Modifications to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our Site with a revised "Last Updated" date. Your continued use of our Site or Services after changes are posted constitutes acceptance of the modified Terms.

For active service contracts, modifications to Terms shall not apply retroactively without your consent.

BY ACCESSING OR USING OUR SITE OR SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
